Please read them carefully, as they outline your rights and obligations when engaging with our Creative as a Service (CaaS) offerings. If you do not agree to these terms, you should refrain from using our services.

  • “Client” refers to the individual or entity engaging Wildflower Agency for services.
  • “Services” refers to the creative solutions, including but not limited to design requests, branding, and strategy support, provided under our CaaS model.

Scope of Services

Scope of Works

Wildflower Agency provides creative services as outlined in our pricing plans. The specific deliverables, timelines, and resources allocated to each client depend on the selected plan. Any additional services outside the agreed scope may incur extra charges.

Client Responsibilities

Client agrees to
To ensure the success of our collaboration, the client agrees to:
  1. Provide clear and timely feedback on deliverables.
  2. Supply all necessary materials, assets, and information required for project completion.
  3. Adhere to agreed timelines for approvals and revisions.

Payment Terms

Our Terms
  1. Subscription Fees: All plans are billed monthly or as otherwise agreed. Payments must be made in advance of service delivery.
  2. Late Payments: Failure to pay on time may result in service suspension or termination.
  3. Refunds: Payments are non-refundable unless otherwise stated in a separate agreement.

Intellectual Property

Who owns what
  1. Ownership: Upon full payment, the client will own the final deliverables. Wildflower Agency retains the right to showcase completed work in our portfolio unless otherwise agreed.
  2. Third-Party Materials: Any third-party assets used in deliverables will remain subject to their original licensing terms.

Wildflower Agency respects the confidentiality of all client-provided information. We will not disclose or share any sensitive data without prior consent, except as required by law.

Revisions and Turnaround Times

Timeline
  1. Turnaround Times: Turnaround times vary by plan and are calculated from the date of request approval. Delays caused by the client may impact delivery timelines. Overage Fees for Exceeding Limits.
Revisions
  1. Revisions: Each plan includes a set number of revisions. Additional revisions may be subject to additional fees.

    Essentials

    • Revisions per Request: Up to 2 rounds of revisions per task/request
    • Active Requests: Up to 2 active projects at a time (as per your package)

    Pro

    • Revisions per Request: Up to 3 rounds of revisions per task/request
    • Active Requests: Up to 3 active projects at a time

    Enterprise

    • Revisions per Request: Up to 5 rounds of revisions per task/request
    • Active Requests: Up to 4 active projects at a time
Overage Fees for Exceeding Limits
  • Essentials: $75 AUD per extra revision or request
  • Pro: $100 AUD per extra revision or request
  • Enterprise: $125 AUD per extra revision or request


    Additional revision, depending on task complexity and designer rates.
  • Extra Request Fee: Charge a flat rate per new request that exceeds the active project/hour limit,

Limitation of Liability

Liability
  1. Wildflower Agency is not liable for any indirect, incidental, or consequential damages arising from the use of our services. Our total liability is limited to the amount paid by the client for the specific service in question.

Termination

Who can terminate the contract
  1. By the Client: Clients may cancel their subscription with 30 days’ written notice.
  2. By Wildflower Agency: We reserve the right to terminate services for breach of these terms or non-payment.

Governing Law

Governed by the laws

These terms and conditions are governed by the laws of New South Wales, Australia. Any disputes will be resolved in the courts of this jurisdiction.

Updates to Terms

Updating our terms

Wildflower Agency reserves the right to update these terms at any time. Clients will be notified of significant changes, and continued use of our services constitutes acceptance of the updated terms.
